Estravon — Terms of Service (DRAFT)

DRAFT v0.1 — prepared 2026-06-12. NOT legal advice. A working draft for review by a qualified adviser before any paid purchase is enabled. Section 6 (Maintenance fee / credit decay) is the highest-risk term and requires the fixed-fee legal opinion already budgeted (Glaser v Atay [2024] EWCA Civ 1111, Consumer Rights Act 2015 Part 2). Do not enable live payments until that review is complete and the pricing placeholders are filled.

1. About these terms

These Terms of Service ("Terms") are a contract between you and Tiberavon Ltd, a company registered in England and Wales (No. 17234096, registered office Henleaze House Business Centre, Bristol), trading as Estravon ("we", "us", "our"). They govern your use of the Estravon hosted service: account registration, credit purchases, and the cloud extraction service at api.estravon.com used by the Estravon Zotero plugin.

By registering or buying credits you accept these Terms. We record which version you accepted and when.

These Terms do not govern the open-source vanilla backend, which is licensed separately (see Section 14).

2. The service

Estravon converts pages of PDF documents in your Zotero library into Markdown, returned as an attachment on the relevant item. Extraction is performed by third-party models (Datalab, with Replicate as fallback). We provide the service on a pay-as-you-go credit basis.

We may improve, change, or withdraw features. We will give reasonable notice of material changes that disadvantage you.

3. Your account and API key

You must provide a valid email address and keep your API key secret. You are responsible for activity under your key. Tell us promptly at support@estravon.com if you believe your key has been compromised. You must be at least 18 and able to form a binding contract.

4. Credits, prices and payment

The service is sold as one-time credit packs measured in pages. Current packs and prices are shown at estravon.com/pricing: [PRICES — PLACEHOLDER, pending pricing review]. Payment is processed by Stripe; the statement descriptor is ESTRAVON. Prices include or exclude VAT as stated at checkout. Credits are applied to your account on successful payment and are consumed as you run extractions.

5. Consumer cancellation and refunds

If you are a consumer in the UK/EU, the Consumer Contracts Regulations 2013 normally give you 14 days to cancel a purchase of digital services.

Because credits can be used immediately, at checkout you will be asked to consent to the service beginning right away and to acknowledge that, once you have started using a credit pack, you lose the right to cancel the portion you have used. You may still request a refund of unused credits within the 14-day window. We will refund unused credits to your original payment method.

Nothing in these Terms removes your non-excludable statutory rights. [Confirm refund mechanics and wording with adviser.]

6. Maintenance fee (credit decay)

Plain-English summary (this is a key term — please read): credits you buy and leave unused are reduced by a small maintenance fee over time. This covers the ongoing cost of keeping your account and the service available. It is not a charge to your card — it is a deduction from your unused credit balance.

The maintenance fee works as follows:

You consent to this term explicitly at checkout (we record decay_disclosed and the consent timestamp). [This clause must be confirmed fair and enforceable by the budgeted legal review before it is enabled. Until then, the maintenance fee is disclosed but not charged.]

7. Your content and your responsibilities

You retain all rights in the documents you upload. We process them only to produce your Markdown and delete them promptly (source PDF immediately after the job; results within ~1 hour) — see the Privacy Notice.

You warrant that you have the right to upload and process each document — for example because you own it, are licensed to use it, or your use is otherwise lawful (such as permitted research or private-study use). You must not use Estravon to reproduce content you have no right to copy. You, not Tiberavon Ltd, are responsible for the lawfulness of your use of the output.

8. Acceptable use

You must not: use the service for unlawful purposes or to infringe others' rights; upload malicious files; attempt to overload, probe, or circumvent the service or its rate limits or billing; resell or sublicense the hosted service without our agreement; or use it to build a competing extraction service. We may suspend or terminate accounts that breach this section.

9. Availability and accuracy

The service is provided on a reasonable-efforts basis. Extraction quality depends on the source PDF and the underlying models; we do not guarantee that the Markdown output is complete or error-free, and you should review output before relying on it. We do not guarantee uninterrupted availability and may take the service down for maintenance.

10. Our liability

Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that:

11. Indemnity

If you are using the service in the course of a business, you agree to indemnify Tiberavon Ltd against claims arising from your unlawful use of the service or your breach of Section 7 or 8. [Review enforceability against consumers; this clause is intended to apply to business users.]

12. Suspension and termination

You may stop using the service at any time. We may suspend or end your access for breach of these Terms, suspected fraud, or non-payment. On termination, unused non-promotional credits may be refundable at our discretion subject to Section 5.

13. Changes to these terms

We may update these Terms. We will post the new version with a new version string and date, and notify registered users of material changes by email. Continued use after changes take effect means you accept them.

14. Open-source components

The Estravon Zotero plugin and the vanilla backend are open source under the AGPL-3.0 licence and are governed by that licence, not these Terms. These Terms apply only to the paid hosted service.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales. If you are a consumer resident elsewhere in the UK or the EU, you keep the benefit of any mandatory consumer-protection rules of your home country.
